1. Who Can Use IrisGO

1.1 You may use our Services only if you are legally able to form a binding contract and comply with these Terms and all applicable laws.

2. Registration and Account

You may use the Services with or without an account. An account provides access to enhanced features.

You are responsible for safeguarding your credentials and ensuring that all information provided is accurate.

If your account is suspended, blocked, or deleted, you may not use the Services again without express permission.

If you are using the Services on behalf of an organization, you confirm you have authority to accept these Terms on its behalf.

Irixion Inc retains all rights to the Services and underlying technology.

Users retain rights to their User Generated Content. However:

• For publicly shared content, you grant Irixion a perpetual, worldwide, royalty-free license to use, display, and distribute it to support and promote the Services.
• Private interactions and content processed locally are not subject to this license and remain private and encrypted.

We reserve the right to remove content that violates our Terms or applicable law.

5. Privacy

Your data is governed by our Privacy Policy, which details what we collect, how we use it, and your rights.

6. Service Availability & Warranty Disclaimer

The Services are provided "as is" without warranties of any kind.

We do not guarantee uninterrupted availability or error-free operation.

We may suspend, update, or discontinue the Services at any time.

7. Termination

You may terminate your account at any time.

We reserve the right to suspend or terminate your access without notice if you breach the Terms or laws, or if we discontinue a feature.

8. Limitation of Liability

To the extent permitted by law, Irixion Inc is not liable for indirect damages or losses, including loss of data, revenue, or use. Total liability is limited to $100 USD.

9. Indemnity

You agree to indemnify and hold harmless Irixion Inc, its employees, and agents against any claims arising from:

• Your breach of these Terms
• Your misuse of the Services
• Your violation of third-party rights

10. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared under this agreement, subject to standard exclusions (e.g. public knowledge, independently developed, legally required disclosure).

11. Third-Party Services

We may link to or rely on third-party services. Irixion Inc is not responsible for third-party content, services, or privacy practices.

12. Miscellaneous

We may update these Terms at any time. Continued use signifies agreement to updated Terms.

These Terms are governed by U.S. law.

If a provision is found invalid, the remaining provisions remain enforceable.

Our failure to enforce any part of these Terms is not a waiver of our rights.

13. Dispute Resolution

You agree to try to resolve disputes with us informally first.

If not resolved, any dispute will be governed by the laws of the State of California, and heard in courts located in California, United States, unless otherwise required by law.
